TransUnion Announces Pricing of Secondary Offering

TransUnion (the "Company") (TRU) announced the pricing of the offering by a certain stockholder of 15,652,500 shares of the Company's common stock at $32.10 per share. The offering is expected to close on June 10, 2016, subject to customary closing conditions. In addition, such selling stockholder has granted the underwriters a 30-day option to purchase up to 2,347,500 additional shares of common stock. The selling stockholder will receive all of the proceeds from this offering. No shares are being sold by the Company.

Goldman, Sachs & Co., J.P. Morgan, BofA Merrill Lynch and Deutsche Bank Securities are acting as lead bookrunning managers for the offering. Evercore ISI, RBC Capital Markets and Wells Fargo Securities are acting as joint bookrunning managers for the offering. Cowen and Company and Stifel are acting as co-managers for the offering.
